Damals - in der prae-digitalen Ära – war ein „Datenraum“ ein gut bewachter Raum. Banken, Wirtschaftsprüfer oder Notare richteten sie ein, um alle Dokumente sicher ablegen zu können, damit jede Partei der Transaktion in Ruhe die Bücher prüfen oder Firmen analysieren konnte. (Due Dilligence). Die Gruppe der Personen, die zum Datenraum Zutritt erhielten, wurde genau definiert und ein Wachpersonal registrierte und dokumentierte die Zugänge und Aufenthaltszeiten.
Heute geht es schneller und einfacher: Man richtet virtuelle Datenräume ein. Denn diese sind natürlich kostengünstiger einzurichten. Außerdem muss niemand extra anreisen, um die Dokumente zu prüfen.
So versucht man mit den Funktionen in einem virtuellen Datenraum die Situation in einem physischen Datenraum nachzubilden, d.h.: Man
- dokumentiert, wer wann und wie lange präsent war
- unterbindet unbefugten Betreten
- verbietet, Dokumente unautorisiert zu entwenden oder zu kopieren
