Gleiss Lutz hat die Siemens AG bei der Veräußerung des Wiring-Accessories-Geschäfts in China an die Schweizer ABB beraten.

Das Wiring-Accessories-Geschäft generierte 2023 einen Umsatz von 150 Millionen US-Dollar und umfasst die Herstellung und den Vertrieb von Schalterprogrammen, Smart Home Systemen, Türkommunikation und weiteren ergänzenden Produkten. Diese werden auf Basis eines Lizenzvertrags zunächst weiterhin unter der Marke Siemens geführt. Die Transaktion ist als gemischter Share und Asset-Deal strukturiert und unterliegt den üblichen regulatorischen Freigaben.

Inhouse begleitete das folgende Siemens Legal-Team die Transaktion: Juan Carlos Moreno, Nicole Röttinger (beide M&A), Tatiana Levina, Christoph Eberhard Braun (beide IP), Hubert Klinger (Kartellrecht), Xenia Eickhoff-Kley (Carve-out), Katrin Lange (Finanzrecht).
