Die Pironet NDH AG veräußert ihre Beratungs- und Kreationssparte und verkauft ihre 100%-ige Beteiligung an der nexum AG mehrheitlich an das Management und einzelne Mitarbeiter sowie Privatinvestoren. Die Abtretung der Aktien wird mit Ablauf des 31.12.2012 wirksam und steht unter der aufschiebenden Bedingung der Zahlung des Festkaufpreises.

Der Kaufpreis beträgt bis zu 2,3 Mio. EUR. Er setzt sich aus einem bis zum 31.12.2012 fälligen Festkaufpreis in Höhe von 1,3 Mio. EUR und einem Earn-Out von bis zu 1,0 Mio. EUR zusammen. Darüber hinaus werden sämtliche Konzernverbindlichkeiten bis zum 30.06.2013 an die Pironet NDH AG zurückgeführt.
