All for One Midmarket AG - Einziehung eigener Aktien / Kapitalherabsetzung

Aufgrund der Ermächtigungen durch die Hauptversammlungen der Gesellschaft vom 26. Juni 2001, 27. Mai 2003, 19. Mai 2004, 20. Mai 2009 sowie vom 11. März 2010 hat der Vorstand mit Zustimmung des Aufsichtsrats beschlossen, bereits erworbene eigene Aktien einzuziehen und das Grundkapital entsprechend herabzusetzen.

Insgesamt werden durch diesen Beschluss 540.000 auf den Namen lautende Stückaktien mit einem rechnerischen Nennwert von EUR 3,00 eingezogen. Die Anzahl ausgegebener Aktien reduziert sich damit von 5.400.000 Aktien um 540.000 auf 4.860.000 Aktien. Das Grundkapital der Gesellschaft reduziert sich entsprechend von EUR 16.200.000,00 um EUR 1.620.000,00 auf EUR 14.580.000,00. Der rechnerische Nennwert der umlaufenden Aktien bleibt unverändert mit dem Betrag von 3,00 Euro je Aktie bestehen.
