  • Abschluss von Beherrschungs- und Gewinnabführungsverträgen mit Tochtergesellschaften

Der Vorstand hat mit Zustimmung des Aufsichtsrats der n.runs Aktiengesellschaft (ISIN DE000A0LEFF5) am 21. Mai 2013 den Abschluss des Ausgliederungsvertrages mit der n.runs professionals GmbH zur Ausgliederung des operativen Geschäftsbetriebes IT-Beratung in die n.runs professionals GmbH rückwirkend zum 1. Januar 2013 beschlossen.

Zudem hat der Vorstand mit Zustimmung des Aufsichtsrats den Abschluss von Beherrschungs- und Gewinnabführungsverträgen mit Wirkung zum 1. Januar 2013 mit den folgenden Tochtergesellschaften beschlossen: n.runs professionals GmbH (IT-Beratung), VIDCO media Systems GmbH (Systemhaus) und VITEC Distribution GmbH (Value Added Distribution).

Beide Vorhaben bedürfen noch der Zustimmung der Hauptversammlung.

Innerhalb dieser neuen Konzernstruktur wird die n.runs AG als Management Holding operieren.
